Commercial
Terms of Supply
The commercial terms that apply to quotations, samples and production orders placed with the group. Project-specific terms in a signed quotation or supply agreement take precedence over this page.
Last updated: 8 November 2026
1. Quotations
Quotations are valid for 30 days from the date of issue unless stated otherwise, and are based on the specification, artwork and Incoterm recorded in them. A change to construction, material, packaging or quantity may change both price and lead time; we will re-quote in writing rather than absorb the difference silently.
2. Samples
Sampling is quoted separately. Sampling cost, dispatch time and whether the cost is credited against the first bulk order are all stated in the quotation. Samples are for evaluation and approval; they are not a production commitment until an order is confirmed in writing.
3. Orders and acceptance
An order exists when we issue a written order confirmation referencing the approved specification, artwork and price, and you have paid any agreed deposit. Purchase-order terms that conflict with our confirmation are not binding unless we accept them in writing.
4. Tooling, artwork and intellectual property
- Artwork, brand names and trademarks you supply remain yours. You confirm you have the right to use them.
- Tooling and plates created specifically for your project are charged as stated in the quotation; ownership and any transfer of that tooling is set out in the same document.
- Our constructions, process know-how, formulations and the patented hemp top-sheet technology remain our property or that of our licensor. They are not transferred by an order, and they may not be reverse-engineered or reproduced by a third party for your account.
5. Delivery
Delivery terms follow the Incoterm stated in the quotation. Dates are given in working days from approval of artwork and receipt of any agreed deposit, and are made in good faith; we notify you in writing as soon as a delay is foreseeable, with a revised date.
6. Inspection and claims
Please inspect goods on arrival and notify us in writing within 15 days of receipt of any shortfall, damage or non-conformity, with photographs and the batch code from the carton. Claims made after that window cannot be verified against retained samples and may not be accepted. Where goods do not conform to the approved specification, our obligation is to replace or credit them; we are not liable for consequential loss such as lost profit or delayed launches.
7. Regulatory responsibility
We supply the technical file, third-party test reports, material declarations supported by the Certificate of Analysis and labelling review for the destination you name. Market authorisation, establishment registration, product listing, import clearance and the final decision on permitted claims in your market remain with you as the party placing the product on that market. We do not describe the product as a medical device or as approved by any regulator.
8. Confidentiality
Each side keeps the other's non-public information confidential and uses it only for the project. We are glad to sign your NDA, or to provide ours, before technical files are exchanged.
9. Force majeure
Neither side is liable for delay caused by events outside reasonable control — natural events, port closures, freight disruption, epidemic-control measures, changes in law. The affected party notifies the other promptly and the affected obligations are suspended for the duration.
10. Governing law and contact
These terms are governed by the laws of the People's Republic of China; disputes are referred to the competent court in Shenzhen, unless a signed agreement provides for arbitration.
